These Terms of Use ("Terms") govern your access to and use of zovaire.co and its content, features, and communications (collectively, the "Site"), which are provided by Zovaire ("Zovaire," "we," "us," or "our").

1. Acceptance of These Terms

By accessing or using the Site, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Current Pre-Launch Status

The Site currently provides information about Zovaire, a patent-pending travel comfort and garment-protection system, and may allow visitors to join a waitlist, request updates, or contact us. Product concepts, features, photographs, renderings, specifications, pricing, availability, launch dates, and other information may change as development, testing, sourcing, and manufacturing continue.

The current Site does not itself accept purchases or preorders unless a checkout or preorder page expressly says otherwise. Joining a waitlist, submitting an email address, responding to a survey, or expressing purchase interest does not create an order, reservation, ownership right, investment, partnership, or obligation for either you or Zovaire.

3. Separate Purchase and Preorder Terms

These Terms do not establish product-sale, preorder, shipping, return, cancellation, warranty, or payment terms. Before Zovaire accepts money for a product, the applicable checkout page or agreement will provide separate customer terms, including the price, estimated delivery timing, payment treatment, refund or cancellation rules, shipping terms, and any product warranty or safety information. If separate transaction terms conflict with these Terms, the transaction terms control for that transaction.

4. Eligibility

You must be at least 13 years old to use the Site. If you are under the age of legal majority where you live, you may use the Site only with the involvement and permission of a parent or legal guardian. The Site is not directed to children under 13.

5. Informational Content; No Professional Advice

Site content is provided for general informational and promotional purposes. It is not medical, health, legal, safety, ergonomic, or other professional advice. Zovaire does not claim that the product prevents, diagnoses, treats, cures, or mitigates any disease, injury, sleep disorder, or medical condition. Product comfort and fit may vary by person and use setting. Do not disregard professional advice or use a prototype or future product in an unsafe manner based on Site content.

6. Intellectual Property

The Site and its content—including the Zovaire name and branding, taglines, text, photographs, product images, graphics, layouts, videos, designs, product configurations, connection concepts, packaging concepts, and other materials—are owned by or licensed to Zovaire and are protected by applicable intellectual-property and unfair-competition laws. Certain Zovaire inventions and designs are the subject of pending patent applications or other intellectual-property protection.

Zovaire grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and view the Site for lawful, noncommercial purposes. No other license or right is granted by implication, estoppel, or otherwise. Using the Site does not give you ownership of any Zovaire intellectual property.

7. Prohibited Uses

You may not, and may not help another person to:

• Copy, reproduce, republish, distribute, sell, license, publicly display, or commercially exploit Site content without prior written permission.

• Use Zovaire photographs, designs, specifications, product configurations, or other materials to create, source, manufacture, market, or sell a competing or derivative product.

• Remove or alter copyright, trademark, patent-pending, confidentiality, or other proprietary notices.

• Scrape, crawl, harvest, data-mine, or use automated means to extract Site content or visitor information except as permitted by law and any posted technical instructions.

• Attempt to gain unauthorized access to the Site, accounts, systems, or networks; test vulnerabilities without permission; introduce malware; or interfere with Site operation.

• Impersonate another person, misrepresent your affiliation, submit false information, or use the Site for fraud, harassment, unlawful activity, or infringement.

• Use Site content to train or develop an artificial-intelligence or machine-learning system without Zovaire’s prior written permission, except where such restriction is prohibited by law.

8. Feedback and Communications

If you send general ideas, suggestions, comments, or feedback about the Site or Zovaire, you grant Zovaire a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, adapt, disclose, and otherwise use that feedback for lawful business purposes without compensation or obligation to you. This clause does not transfer ownership of an invention that is the subject of a separate written confidentiality, testing, employment, contractor, or assignment agreement.

Do not send confidential product designs, trade secrets, or other confidential information through a general website form or email unless Zovaire has agreed in writing to receive it confidentially.

9. Third-Party Services and Links

The Site may contain links to social-media platforms, website tools, embedded content, or other third-party services. Zovaire does not control and is not responsible for third-party content, availability, security, privacy, terms, products, or services. A link does not mean Zovaire endorses the third party. Your use of a third-party service is governed by that party’s terms and policies.

10. Site Availability and Changes

We may change, suspend, restrict, or discontinue any part of the Site at any time. We do not promise that the Site will always be available, uninterrupted, current, complete, secure, or error-free. We may correct errors or update product information without notice. Zovaire is not responsible for loss caused by relying on an outdated prototype detail, estimated date, estimated price, or other preliminary information.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ZOVAIRE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOVAIRE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE ON THE SITE OR SITE CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOVAIRE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE CURRENT FREE, PRE-LAUNCH SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS LIMIT DOES NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Unless applicable consumer law requires otherwise, any legal action arising from these Terms or the Site must be brought in a state or federal court located in Travis County, Texas, and you consent to that court’s jurisdiction and venue. This section does not limit any non-waivable consumer right or remedy.

14. Changes to These Terms

We may update these Terms as the Site or Zovaire’s business changes. The revised Terms will be posted with a new effective or "last updated" date. Changes apply prospectively from the stated effective date. If you continue to use the Site after revised Terms take effect, that use is subject to the revised Terms.

15. General Terms

If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Zovaire’s failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without Zovaire’s prior written consent. Zovaire may assign these Terms in connection with a business reorganization, financing, sale, or transfer. These Terms and the Privacy Policy are the entire agreement concerning use of the current Site, except for any separate written agreement that applies to you.
